01 Agreement
These terms govern your use of the DL Consultants website, operated by [LEGAL ENTITY NAME], registration number [REG NUMBER], of [BUSINESS ADDRESS], Johannesburg, South Africa (“I”, “me”, “the practice”). By using this site you accept these terms. If you don't agree, please don't use the site.
02 The website
This site is provided for information about the practice. Content — including any specimen diagnostic, figures, and examples — is illustrative and provided in good faith, but does not constitute a guarantee, a quote, or professional advice for your specific situation. I may change or remove content at any time.
03 Engagements are governed separately
Nothing on this site is an offer capable of acceptance or a binding engagement. Any work I take on — including the Diagnostic and any build — is governed by a separate written proposal, statement of work, or agreement signed by both parties. Where those documents conflict with this page, they take precedence for that engagement.
04 The Diagnostic
- The Diagnostic is a fixed-fee engagement. The fee is stated at the time of engagement and is payable in advance unless agreed otherwise.
- Where I proceed to a build with you, the Diagnostic fee is credited in full against that build, as set out in the relevant proposal.
- I operate a selective intake and may decline to take on any diagnostic or engagement at my discretion.
- The Diagnostic is an informed professional assessment. Figures and projections are estimates, not guaranteed outcomes.
05 Fees & payment
Fees, currency, milestones, and payment terms are set out in the applicable proposal or agreement. Unless stated otherwise, fees are exclusive of any applicable taxes. Late payment may pause or suspend work.
06 Intellectual property
- My methods stay mine. The diagnose-first method, frameworks, tooling, know-how, and any pre-existing materials I bring to an engagement remain my intellectual property.
- Your deliverables become yours on full payment. On settlement of all fees for an engagement, the specific deliverables built for you transfer to you as set out in the agreement.
- You may not copy, resell, or redistribute my methods, materials, or this site's content without written permission.
07 Client responsibilities
Where you engage me, you agree to provide accurate information and timely access to the materials, systems, and approvals the work requires. Delays or inaccurate information on your side may affect timelines and outcomes.
08 Confidentiality
Each party will keep the other's non-public information confidential and use it only for the purpose of the engagement. This survives the end of the engagement.
09 Warranties & disclaimers
I deliver work with reasonable skill and care. Beyond that, the website and its content are provided “as is” without warranties of any kind, express or implied. I don't warrant that the site will be uninterrupted or error-free, or that any figure or projection will be achieved.
10 Limitation of liability
To the fullest extent permitted by law, I am not liable for indirect, incidental, or consequential loss, or for loss of profit, revenue, or data, arising from use of this site. For any engagement, my total liability is limited as set out in the relevant agreement and, in any event, will not exceed the fees paid for that engagement. Nothing in these terms excludes liability that cannot be excluded by law.
11 Third-party links & tools
The site and engagements may reference or rely on third-party platforms and tools. I'm not responsible for the content, availability, or practices of third parties.
12 Governing law
These terms are governed by the laws of the Republic of South Africa, and the courts of South Africa have jurisdiction, unless a signed engagement agreement specifies otherwise.
13 Changes
I may update these terms from time to time. The “last updated” date above reflects the current version. Continued use of the site means you accept the current terms.
